Terms & Conditions for Partners

These Terms & Conditions (“Terms”) govern the partnership, collaboration, or franchise relationship between GoLumo (“Company,” “we,” “our”) and any partner, developer, business entity, franchise investor, fleet operator, or organisation (“Partner,” “you”). By signing a partnership agreement, onboarding through our portal, or using GoLumo’s EV charging solutions, you agree to these Terms.

1. Eligibility for Partnership

  • You are a legally registered business entity or authorized representative.
  • You can enter binding agreements under applicable laws.
  • All information submitted during onboarding is accurate and complete.

GoLumo reserves the right to approve, reject, or revoke partnership eligibility at its discretion.

2. Scope of Partnership

Partnership may include (but is not limited to):

  • Hosting GoLumo EV chargers at your premises
  • Commercial EV charging operations
  • Franchise ownership
  • Fleet charging solutions
  • Revenue-sharing or subscription-based charging models
  • Infrastructure collaborations with developers or institutions

Specific terms will be outlined in your signed commercial agreement.

3. Roles & Responsibilities

3.1 Partner Responsibilities

  • Provide safe, legal access to the charging location.
  • Maintain basic site infrastructure (parking space, lighting, security).
  • Comply with local regulations, permits, and approvals.
  • Avoid modifying GoLumo chargers, software, or hardware.
  • Report faults or damages immediately.
  • Follow brand guidelines and approved marketing material.

3.2 GoLumo Responsibilities

  • Install and configure the approved EV chargers.
  • Provide platform access, app support, and documentation.
  • Offer maintenance support as per agreement.
  • Provide dashboards, billing systems, and analytics.
  • Facilitate end-user payment processing.

4. Revenue Model & Payments

Revenue models may include:

  • Commission / revenue share
  • Subscription-based charging
  • Franchise investment returns
  • Pay-per-use charging revenue
  • Infrastructure-led models

All commercial terms will be documented in a separate Commercial Agreement. GoLumo is not liable for delays from banks/payment gateways or incorrect details provided by the Partner.

5. Installation, Equipment & Ownership

  • Chargers, software, and systems remain GoLumo property unless specified.
  • No relocation, repair, or tampering without permission.
  • Timelines vary based on approvals, site readiness, and inventory.

6. Use of Software & Dashboard

  • Partner receives dashboard access for revenue and analytics.
  • Credentials must not be shared.
  • Any misuse may result in immediate access termination.

7. Branding & Marketing

  • Branding may be used only with written approval.
  • Must follow official brand guidelines.
  • Unauthorized use is prohibited.

8. Compliance & Legal Requirements

Partners must comply with EV regulations, electrical safety norms, fire guidelines, and building rules. GoLumo is not responsible for penalties due to non-compliance.

9. Liability Constraints

  • Losses due to Partner negligence or site conditions.
  • Downtime caused by power cuts or local issues.
  • Damage caused by unauthorized equipment handling.

10. Confidentiality

Partners must keep business data, revenue models, and technical documentation confidential. This obligation continues after termination.

11. Termination

  • Violation of terms
  • Fraud, misuse, or unauthorized activities
  • Payment default
  • Working with competitors using GoLumo data

Partners may terminate by providing written notice as per contract.

12. Dispute Resolution

Disputes will be governed by the laws of India and applicable jurisdiction specified in the commercial agreement.

13. Amendments

GoLumo may update these Terms. Continued use implies acceptance.
